This document sets forth the contractual conditions applicable to all services, audits, media support deliveries, and trademark licensing offered by the France Hygiene Institute to partner establishments: clinics and healthcare facilities, nurseries and childcare centers, hotels, restaurants, and agribusinesses (hereinafter referred to as "the Client").

ARTICLE 1: PURPOSE, SECTORS OF INTERVENTION, AND LEGAL INDEPENDENCE

The exclusive purpose of this contract is the provision of on-site biosecurity audits, the supply of marketing materials (video spots, digital badges, integration of technical verification systems), and the granting of a temporary, revocable, and conditional license to use the "France Hygiene Institute" label.

The audits and certifications of the France Hygiene Institute apply exclusively to the following sectors:

  • Medical Sector & Clinics: Audits of disinfection protocols, operating rooms, patient rooms, and care areas.

  • Early Childhood Sector & Nurseries: Audits of the hygiene of living spaces, toys, sanitary facilities, and changing areas.

  • Hospitality & Catering Sector (Horeca): Audits of room cleanliness, common areas, spas, and the application of food safety standards in kitchens.

  • Agribusiness Sector: Audits of production lines, storage areas, the cold chain, and compliance with sanitary control plans.

ABSOLUTE LEGAL AND REGULATORY DISCLAIMER: France Hygiene Institute is a private body, entirely independent of state, ministerial, or health authorities, both in France and in Turkey (or any other country of operation). This label does not constitute an official approval, an authorization to operate, an administrative license, or a public certification (such as the mandatory approval of the Ministry of Health, veterinary checks, or official hygiene inspections). The client establishment remains solely, uniquely, and exclusively liable under civil and criminal law for its regulatory compliance before the authorities of its country.

ARTICLE 2: STRICT EXCLUSION OF OPERATING AUTHORIZATION AND EXCLUSIVELY MARKETING NATURE OF THE LABEL

  1. Total absence of administrative or legal authorization: The Client irrevocably acknowledges and accepts that the label issued by the France Hygiene Institute is not an authorization to open, nor an operating license, nor a practice permit (whether medical, hospitality, catering, or industrial). This label does not validate in any way the legal or administrative legitimacy of the establishment. The Client declares that it is already in possession of all legal authorizations, licenses, and approvals required by the local authorities of its country to carry out its activity.

  2. Sole purpose of commercial reassurance and marketing: The Parties expressly agree that the label has a solely and exclusively marketing, commercial, and communication purpose aimed at the general public and end customers (patients, parents of students, tourists, B2C consumers). It serves solely as a reassurance tool to highlight the voluntary approach of the establishment, and cannot under any circumstances be interpreted as an absolute scientific guarantee or a guarantee of the total absence of infectious or food-related risks.

  3. Absence of guarantee of attendance or increase in customers: France Hygiene Institute in no way guarantees, expressly or implicitly, an increase in the number of customers or patients (particularly European ones), an increase in the establishment's attendance, or any growth in the Client's turnover. The Client alone assumes the economic risks related to its activity and acknowledges that the acquisition of its customer base depends on marketing and operational factors that are specific to it and entirely independent of the services provided by the France Hygiene Institute.

ARTICLE 3: FINANCIAL TERMS AND PAYMENT METHODS

Each contract is concluded for a fixed term of twelve (12) months. Due to international logistics costs, auditor travel expenses, and the technical setup of the system (QR Code, server space, video production and editing):

  1. The Mandatory Start-up Deposit: The Client undertakes to pay, upon signature of the contract, three (3) consecutive months of subscription in advance, as processing and logistics fees. No initial audit will be scheduled, no media content will be produced, and no visual element will be delivered before these funds have been effectively and definitively received in the France Hygiene Institute's bank account.

  2. The Subsequent Monthly Payments: The balance (the remaining 9 months) is payable in advance, no later than the 1st day of each month, by bank transfer (bank charges to be borne exclusively by the Client).

ARTICLE 4: INTELLECTUAL PROPERTY AND ULTRA-REINFORCED COUNTERFEITING CLAUSE

The logo, name, trademark, graphic concepts, QR Code systems, and videos produced by the France Hygiene Institute are protected by international intellectual property treaties and applicable national legislation.

  • The right to display the label (on the website, social media, business documents, booking platforms, or on the physical premises of the establishment) is a precarious right of use, strictly conditional on regular, full, and up-to-date payment of the subscription.

  • FINANCIAL PENALTY AND PAYABILITY OF THREE TIMES THE ANNUAL SUBSCRIPTION: If the establishment uses, displays, reproduces, maintains the visuals, or uses the label name without prior written agreement, after termination, or during a period of non-payment (exceeding 5 days), the Client shall automatically owe a fixed and irreducible penalty clause. This penalty is set at an amount equal to three (3) times the total annual subscription price (i.e., 36 months of subscription).

  • This amount becomes immediately due upon the finding of the infringement, without any prior formal notice or legal proceedings being necessary, and this without prejudice to the subscription months already paid, which remain definitively acquired by the Institute.

  • France Hygiene Institute reserves the right to initiate immediate legal proceedings for trademark infringement, to claim additional damages for reputational harm, and to issue a public notice of fraud and unlawful trademark use on its official website.

ARTICLE 5: TOTAL LIABILITY EXEMPTION AND ON-SITE VERIFICATION PROTOCOL

  1. Technical audit protocol (ATP metering): The Client is informed and accepts that the on-site verification of the cleanliness, hygiene, and biosecurity status of surfaces is based on an instant scientific analysis method using ATP metering, carried out using measuring devices from the brand Hygiena. The establishment's compliance score is calculated based on the Relative Light Units (RLU) measured during the on-site inspection.

  2. Obligation of means: The Client expressly acknowledges that the services provided by France Hygiene Institute constitute an obligation of means and not of result. The audit, the ATP metering samples, and the score awarded reflect solely the biological and sanitary situation observed at the precise and strict moment of the on-site inspection.

  3. Total liability exemption (Infections, Contaminations, and Poisoning): France Hygiene Institute cannot, under any circumstances or condition whatsoever, be held liable for the occurrence of any nosocomial or medical infection (for clinics), an epidemic or childhood illness (for daycare centers), food poisoning or product contamination (for restaurants, hotels, and food industries), or the spread of any pathogen (virus, bacteria, fungus, etc.) within the client establishment.

  4. Absolute waiver of recourse: The Client formally and irrevocably waives, on behalf of itself and its insurers, any recourse, legal action, prosecution, or claim for financial compensation against France Hygiene Institute, its directors, or its employees, in the event of a medical complication, poisoning, death, administrative closure of the establishment (by state hygiene services), or a dispute with a third party related to a hygiene issue. The establishment remains the sole legal, civil, and criminal guarantor for the day-to-day management of its health risks.

ARTICLE 6: NON-COMPLIANCE AND IMMEDIATE TECHNOLOGICAL SUSPENSION

If the client establishment fails to pay on the due date (with a delay exceeding 5 days) or if the results of the ATP metering tests (Hygiena) reveal a contamination level exceeding the strict tolerance thresholds defined by the Institute's scale:

  1. The link associated with the Dynamic QR Code will be instantly deactivated remotely or will automatically redirect to a public warning page stating: “This establishment's certification has been suspended for non-compliance with biosecurity criteria”.

  2. The sending of video spots (according to the frequency specified in the chosen package) and the authorization to use the trademark (Label) on all of the Client's media (website, social media, physical signage) will be immediately suspended.

  3. No refund of amounts already received (including the 3 months paid in advance) will be granted, these remaining definitively acquired by France Hygiene Institute as a fixed indemnity.

ARTICLE 7: APPLICABLE LAW, DISPUTE RESOLUTION, AND IMMEDIATE DEBT RECOVERY SEIZURE

7.1 Applicable law: This contractual framework, as well as all obligations arising therefrom, is exclusively governed by, interpreted in accordance with, and subject to French substantive law.

7.2 Direct and Immediate Seizure Option (Recovery of Unpaid Amounts): By express derogation from the arbitration clause below, in the event of non-payment, an unpaid monthly installment, or failure to settle financial penalties by the Client, France Hygiene Institute reserves the exclusive, discretionary, and sovereign right to directly, immediately, and without prior arbitration, refer the matter to the competent judicial authorities and courts of the Client's country (notably in Turkey, France, or any other country where the establishment is located). This direct recourse aims to enforce the contract by force, to urgently obtain any order to pay, precautionary seizure of the client structure's bank accounts, or any precautionary measure aimed at freezing the Client's financial assets until full payment of the amounts due and the threefold subscription penalties.

7.3 International Arbitration Clause (For other disputes and counterfeiting): Any other dispute, controversy, or claim arising out of or in connection with this contract (notably in the event of trademark infringement, intellectual property violation, or fraudulent use of the label) shall be finally settled by arbitration in accordance with the Arbitration Rules of the International Chamber of Commerce (ICC).

  • The arbitral tribunal shall be composed of a sole arbitrator appointed in accordance with the said Rules.

  • The seat of arbitration shall be set in Paris (France).

  • The language of the arbitration proceedings shall be French.

  • The arbitral award shall be final and binding on both parties, enforceable internationally in accordance with the 1958 New York Convention.

7.4 Absolute primacy of the French language: In the event of a translation of these terms into another language (notably into Turkish), and in the event of a divergence in interpretation or contradiction, only the French version shall prevail and shall be authoritative at 100%.
